關于做好2016年度《企業年度工作報告》填報工作的通知

依(yi)照(zhao)《國(guo)有(you)企(qi)業監(jian)事(shi)(shi)會暫行條例》(國(guo)務(wu)院令第283號(hao))、《關于加強(qiang)和改進國(guo)有(you)企(qi)業監(jian)事(shi)(shi)會工作的(de)若干(gan)意見》(國(guo)資發監(jian)督(du)〔2006〕174號(hao))和《關于進一(yi)步支持(chi)配(pei)合監(jian)事(shi)(shi)會開展監(jian)督(du)檢查(cha)工作有(you)關事(shi)(shi)項(xiang)(xiang)的(de)通(tong)知》(國(guo)資發監(jian)督(du)〔2012〕120號(hao))的(de)有(you)關規定,各中央企(qi)業每(mei)年(nian)向(xiang)監(jian)事(shi)(shi)會報(bao)(bao)送《企(qi)業年(nian)度工作報(bao)(bao)告(gao)》(以下(xia)簡稱年(nian)度報(bao)(bao)告(gao))。為做好2016年(nian)度報(bao)(bao)告(gao)填報(bao)(bao)工作,現將有(you)關事(shi)(shi)項(xiang)(xiang)通(tong)知如下(xia):

一、加強組織領導,健全工作體(ti)系

各中(zhong)央企業要(yao)(yao)高度(du)(du)重(zhong)(zhong)視年(nian)度(du)(du)報(bao)(bao)告(gao)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo),健全組(zu)(zu)織領(ling)導機制(zhi),成(cheng)立(li)年(nian)度(du)(du)報(bao)(bao)告(gao)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)領(ling)導小組(zu)(zu)或聯席會議,統(tong)籌(chou)(chou)謀劃、協同(tong)推動各項工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)。要(yao)(yao)研(yan)究(jiu)制(zhi)定年(nian)度(du)(du)報(bao)(bao)告(gao)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)落實(shi)方(fang)案,明(ming)確工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)目標(biao)、具體措施、責(ze)(ze)(ze)(ze)任(ren)(ren)主(zhu)體和進(jin)度(du)(du)要(yao)(yao)求,強(qiang)化(hua)(hua)部(bu)門聯動,結合企業實(shi)際編制(zhi)可(ke)追溯、可(ke)量(liang)化(hua)(hua)、可(ke)評價、可(ke)考核(he)(he)的(de)(de)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)任(ren)(ren)務(wu)分解臺賬。企業法定代(dai)表人(ren)(ren)要(yao)(yao)認(ren)真(zhen)履行好年(nian)度(du)(du)報(bao)(bao)告(gao)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)第一責(ze)(ze)(ze)(ze)任(ren)(ren)人(ren)(ren)職責(ze)(ze)(ze)(ze),強(qiang)化(hua)(hua)領(ling)導、落實(shi)責(ze)(ze)(ze)(ze)任(ren)(ren),嚴格把關、確保質量(liang);分管領(ling)導要(yao)(yao)履行好直接(jie)責(ze)(ze)(ze)(ze)任(ren)(ren)人(ren)(ren)職責(ze)(ze)(ze)(ze),深入一線、靠前指揮(hui),把控關鍵、重(zhong)(zhong)點督辦;牽頭部(bu)門要(yao)(yao)加強(qiang)組(zu)(zu)織協調,及時分解落實(shi)任(ren)(ren)務(wu)、規(gui)范工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)流(liu)程(cheng)、細化(hua)(hua)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)要(yao)(yao)求、密(mi)切跟蹤督促、強(qiang)化(hua)(hua)過(guo)程(cheng)控制(zhi);協同(tong)部(bu)門要(yao)(yao)明(ming)確任(ren)(ren)務(wu)分工(gong)(gong),主(zhu)動參與、積(ji)極配(pei)合,細化(hua)(hua)落實(shi)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)責(ze)(ze)(ze)(ze)任(ren)(ren),形成(cheng)有效工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)合力(li)。中(zhong)央企業集(ji)團(tuan)總(zong)部(bu)要(yao)(yao)加強(qiang)對子(zi)企業年(nian)度(du)(du)報(bao)(bao)告(gao)工(gong)(gong)作(zuo)(zuo)(zuo)(zuo)的(de)(de)統(tong)籌(chou)(chou)領(ling)導,做到統(tong)一部(bu)署、統(tong)一標(biao)準、統(tong)一實(shi)施、統(tong)一審核(he)(he),建(jian)立(li)完(wan)善(shan)橫向全面覆蓋、縱(zong)向責(ze)(ze)(ze)(ze)任(ren)(ren)到人(ren)(ren)的(de)(de)組(zu)(zu)織管理體系。

二、圍(wei)繞中心工作,全面梳理排查

各中央企(qi)(qi)業(ye)要(yao)以(yi)年(nian)(nian)度(du)報(bao)告工作(zuo)為抓手(shou),緊密(mi)圍繞中心(xin)工作(zuo),全面總(zong)結一年(nian)(nian)來企(qi)(qi)業(ye)經營管(guan)(guan)(guan)理(li)(li)和(he)改(gai)(gai)革(ge)(ge)發展情況(kuang),深入排(pai)查(cha)(cha)(cha)重(zhong)(zhong)大(da)問題和(he)風險(xian)隱患(huan),探索建(jian)立企(qi)(qi)業(ye)自查(cha)(cha)(cha)問題清單,認真分析查(cha)(cha)(cha)找原因(yin),制定切實可行的整改(gai)(gai)措施。要(yao)圍繞黨中央、國(guo)務(wu)(wu)院重(zhong)(zhong)大(da)決策部(bu)署及(ji)國(guo)資(zi)(zi)監管(guan)(guan)(guan)政策規定執行情況(kuang),系統梳(shu)理(li)(li)深化國(guo)企(qi)(qi)國(guo)資(zi)(zi)改(gai)(gai)革(ge)(ge)和(he)推進(jin)供給側(ce)結構性改(gai)(gai)革(ge)(ge)、瘦(shou)身(shen)健體、提(ti)質增(zeng)效等(deng)(deng)重(zhong)(zhong)點任務(wu)(wu)落實情況(kuang),著(zhu)重(zhong)(zhong)分析化解(jie)過剩產(chan)能、處置“僵尸企(qi)(qi)業(ye)”、特困企(qi)(qi)業(ye)專(zhuan)項治(zhi)理(li)(li)、壓縮管(guan)(guan)(guan)理(li)(li)層級(ji)、減少法人數(shu)量、加快(kuai)解(jie)決歷(li)史遺留問題等(deng)(deng)重(zhong)(zhong)點專(zhuan)項工作(zuo)情況(kuang)及(ji)存(cun)在(zai)的問題。要(yao)以(yi)提(ti)高發展質量和(he)效益(yi)為中心(xin),全面梳(shu)理(li)(li)、集(ji)中排(pai)查(cha)(cha)(cha)企(qi)(qi)業(ye)內部(bu)控(kong)制、財務(wu)(wu)管(guan)(guan)(guan)理(li)(li)、運營管(guan)(guan)(guan)控(kong)、境外資(zi)(zi)產(chan)管(guan)(guan)(guan)理(li)(li)、黨建(jian)及(ji)公司治(zhi)理(li)(li)等(deng)(deng)方面存(cun)在(zai)的重(zhong)(zhong)要(yao)管(guan)(guan)(guan)控(kong)缺陷,詳細報(bao)告企(qi)(qi)業(ye)重(zhong)(zhong)大(da)資(zi)(zi)產(chan)減值、重(zhong)(zhong)大(da)資(zi)(zi)產(chan)損失、重(zhong)(zhong)大(da)經營風險(xian)、債(zhai)務(wu)(wu)違約(yue)風險(xian)等(deng)(deng)重(zhong)(zhong)要(yao)風險(xian)事(shi)項。要(yao)建(jian)立健全年(nian)(nian)度(du)報(bao)告揭示問題整改(gai)(gai)落實機制,形成部(bu)門間齊(qi)抓共管(guan)(guan)(guan)、整改(gai)(gai)聯動(dong)的工作(zuo)局面,有效發揮年(nian)(nian)度(du)報(bao)告在(zai)系統診斷和(he)風險(xian)預(yu)判方面的重(zhong)(zhong)要(yao)作(zuo)用。

三、加強溝通配合,明確范圍重(zhong)點

各中央(yang)(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)要深入(ru)貫徹落實中央(yang)(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)監(jian)事(shi)(shi)(shi)會工(gong)(gong)作會議精神(shen),按照“兩個(ge)融入(ru)”、“五個(ge)必須”的(de)(de)總體(ti)要求,進一(yi)步加強與(yu)派駐本(ben)企(qi)(qi)(qi)(qi)業(ye)(ye)監(jian)事(shi)(shi)(shi)會的(de)(de)溝通配合,根(gen)據(ju)監(jian)事(shi)(shi)(shi)會監(jian)督(du)檢(jian)查(cha)(cha)工(gong)(gong)作需要,結(jie)合企(qi)(qi)(qi)(qi)業(ye)(ye)經營規模(mo)、組(zu)織(zhi)架構、管控模(mo)式、行(xing)業(ye)(ye)特(te)點、區域分布、發展階段等情況,共(gong)同確定企(qi)(qi)(qi)(qi)業(ye)(ye)填報(bao)(bao)(bao)范(fan)(fan)(fan)圍(wei)和(he)(he)年(nian)度重(zhong)(zhong)點披露事(shi)(shi)(shi)項。原則上,年(nian)度報(bao)(bao)(bao)告(gao)填報(bao)(bao)(bao)范(fan)(fan)(fan)圍(wei)包括企(qi)(qi)(qi)(qi)業(ye)(ye)集(ji)團、境內(nei)(外)二級單(dan)位、各級金融子(zi)企(qi)(qi)(qi)(qi)業(ye)(ye)以(yi)及(ji)所托管企(qi)(qi)(qi)(qi)業(ye)(ye);整體(ti)上市中央(yang)(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)填報(bao)(bao)(bao)范(fan)(fan)(fan)圍(wei)包括控股上市公司(si)(si)所屬境內(nei)(外)二級單(dan)位;離岸公司(si)(si)、殼公司(si)(si)等特(te)殊子(zi)企(qi)(qi)(qi)(qi)業(ye)(ye)不納入(ru)填報(bao)(bao)(bao)范(fan)(fan)(fan)圍(wei),監(jian)事(shi)(shi)(shi)會另有要求的(de)(de)除外。三級(含)以(yi)下重(zhong)(zhong)要子(zi)企(qi)(qi)(qi)(qi)業(ye)(ye)及(ji)重(zhong)(zhong)要非法人實體(ti)等填報(bao)(bao)(bao)范(fan)(fan)(fan)圍(wei)與(yu)監(jian)事(shi)(shi)(shi)會共(gong)同商(shang)定,根(gen)據(ju)監(jian)事(shi)(shi)(shi)會工(gong)(gong)作需要及(ji)年(nian)度監(jian)督(du)檢(jian)查(cha)(cha)計劃安(an)排(pai),納入(ru)填報(bao)(bao)(bao)范(fan)(fan)(fan)圍(wei)。鼓勵有條(tiao)件的(de)(de)中央(yang)(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)試行(xing)全級次報(bao)(bao)(bao)送。要根(gen)據(ju)派駐本(ben)企(qi)(qi)(qi)(qi)業(ye)(ye)監(jian)事(shi)(shi)(shi)會的(de)(de)要求,分行(xing)業(ye)(ye)、分業(ye)(ye)務(wu)板塊梳理重(zhong)(zhong)點關(guan)注事(shi)(shi)(shi)項和(he)(he)重(zhong)(zhong)點填報(bao)(bao)(bao)內(nei)容。

四、融入日常(chang)管控(kong),完善長效(xiao)機制

各中央企(qi)(qi)業(ye)要(yao)(yao)深(shen)(shen)入推進年(nian)度(du)(du)報告(gao)(gao)工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)與企(qi)(qi)業(ye)日(ri)常管(guan)控工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)的(de)(de)深(shen)(shen)度(du)(du)融(rong)合(he),努(nu)力(li)實(shi)現工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)聯動(dong)、信(xin)(xin)(xin)息(xi)(xi)共(gong)享(xiang)、資(zi)源整合(he)、成(cheng)(cheng)果共(gong)用,著力(li)形成(cheng)(cheng)以年(nian)度(du)(du)報告(gao)(gao)為抓手的(de)(de)企(qi)(qi)業(ye)自(zi)(zi)我診斷、自(zi)(zi)我完善的(de)(de)長(chang)效工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)機(ji)制(zhi)(zhi)(zhi)。要(yao)(yao)加(jia)強年(nian)度(du)(du)報告(gao)(gao)制(zhi)(zhi)(zhi)度(du)(du)建(jian)設(she)(she),建(jian)立統一工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)規(gui)范(fan)和標準體系(xi),科學安排(pai)工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)進度(du)(du),細化(hua)(hua)規(gui)范(fan)工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)標準,嚴(yan)格審核評(ping)價(jia)流程(cheng)(cheng),實(shi)現全程(cheng)(cheng)閉(bi)環管(guan)理(li)。要(yao)(yao)建(jian)立內部協(xie)同聯動(dong)機(ji)制(zhi)(zhi)(zhi),充分(fen)利(li)用已有(you)(you)管(guan)理(li)系(xi)統、內部成(cheng)(cheng)果、工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)報告(gao)(gao)等信(xin)(xin)(xin)息(xi)(xi)載體,避免重復歸集、重復報送。要(yao)(yao)實(shi)現年(nian)度(du)(du)報告(gao)(gao)與企(qi)(qi)業(ye)信(xin)(xin)(xin)息(xi)(xi)化(hua)(hua)工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)有(you)(you)效對(dui)接,充分(fen)利(li)用信(xin)(xin)(xin)息(xi)(xi)化(hua)(hua)建(jian)設(she)(she)基(ji)礎,以大數據為核心推進年(nian)度(du)(du)報告(gao)(gao)信(xin)(xin)(xin)息(xi)(xi)化(hua)(hua)建(jian)設(she)(she),創新(xin)工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)方法(fa),提高工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)效率(lv),分(fen)享(xiang)信(xin)(xin)(xin)息(xi)(xi)資(zi)源,深(shen)(shen)化(hua)(hua)成(cheng)(cheng)果應(ying)用。要(yao)(yao)建(jian)立健全年(nian)度(du)(du)報告(gao)(gao)質量綜合(he)評(ping)價(jia)機(ji)制(zhi)(zhi)(zhi),研究制(zhi)(zhi)(zhi)定年(nian)度(du)(du)報告(gao)(gao)工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)及支持配合(he)監事會工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)與業(ye)績(ji)考(kao)核掛鉤的(de)(de)具體措施,完善激勵約束長(chang)效機(ji)制(zhi)(zhi)(zhi),推動(dong)年(nian)度(du)(du)報告(gao)(gao)工(gong)(gong)(gong)(gong)(gong)作(zuo)(zuo)(zuo)落到(dao)實(shi)處。

五、落實填報任(ren)務(wu),按時備案報送

(一(yi))請各(ge)中央(yang)企業(ye)于(yu)2016年12月15日前將與(yu)派駐本企業(ye)監事會共同確定(ding)的擬報送年度(du)報告有(you)關事項,以正式(shi)文件形式(shi)(式(shi)樣見(jian)附件1)報監事會工作局(ju)備(bei)案。

(二(er))請各(ge)中(zhong)央企(qi)業于2017年2月28日前將(jiang)集(ji)團公司與各(ge)級子企(qi)業年度報(bao)告(gao)一并(bing)以正式(shi)文件(jian)形(xing)式(shi)(式(shi)樣見(jian)附件(jian)2)報(bao)送派駐本企(qi)業監(jian)事(shi)會(紙(zhi)質材料(liao)1套,光盤(pan)2套),同時(shi)將(jiang)年度報(bao)告(gao)(光盤(pan)1套)及正式(shi)文件(jian)報(bao)送監(jian)事(shi)會工作局備案。

(三)年度報(bao)(bao)(bao)告(gao)繼(ji)續(xu)使用軟(ruan)件填(tian)報(bao)(bao)(bao)。《2016年度企(qi)業(ye)(ye)年度工作報(bao)(bao)(bao)告(gao)格式文本及編制說(shuo)明》安裝在填(tian)報(bao)(bao)(bao)軟(ruan)件中(zhong),繼(ji)續(xu)探索推進信息化(hua)報(bao)(bao)(bao)送和綜合應用。需要填(tian)報(bao)(bao)(bao)軟(ruan)件及紙質材(cai)料的企(qi)業(ye)(ye)請與(yu)監事(shi)會(hui)工作局聯系。

(四)國資委將組(zu)織召開“2016年度中央企業(ye)年度工(gong)作(zuo)報告布置培訓視頻會(hui)議”,屆時請(qing)各中央企業(ye)按(an)通知(zhi)要求組(zu)織相關(guan)人員參(can)會(hui)。
