調整結構優化配置 夯實基礎提升管理 推動中央企業產權管理工作再上新臺階
——在中央(yang)企業產權管理工作會(hui)議(yi)上的講話
國務院國資委副主任 黃丹華(hua)
這次(ci)會(hui)議(yi)的(de)主要(yao)(yao)任(ren)務是,認真貫(guan)徹落(luo)實中(zhong)央經濟(ji)工作(zuo)會(hui)議(yi)和中(zhong)央企業(ye)負責人會(hui)議(yi)精神,總結2011年中(zhong)央企業(ye)產(chan)權(quan)管(guan)理(li)工作(zuo),分析(xi)形勢,明確(que)任(ren)務,部署2012年工作(zuo)。王勇主任(ren)對(dui)產(chan)權(quan)管(guan)理(li)工作(zuo)高度重視,會(hui)前聽取了匯(hui)報(bao),專門對(dui)會(hui)議(yi)作(zuo)了重要(yao)(yao)批示(shi),我們要(yao)(yao)認真學習,深刻領會(hui),抓好(hao)貫(guan)徹落(luo)實。下面,我講四點(dian)意(yi)見:
一、2011年中央(yang)企業(ye)產權(quan)管理工作取得新(xin)進(jin)展
一(yi)年(nian)來,中(zhong)央(yang)企(qi)業(ye)(ye)按照王(wang)勇(yong)主(zhu)任(ren)在去年(nian)中(zhong)央(yang)企(qi)業(ye)(ye)產(chan)權管(guan)理工作(zuo)會(hui)議上提出的(de)工作(zuo)要(yao)求,在完善體系、提升水平、加強(qiang)監管(guan)等方(fang)面取得了顯著成績,為(wei)深化企(qi)業(ye)(ye)改革,促進企(qi)業(ye)(ye)又(you)好又(you)快發展,發揮了基礎性、樞紐性、戰略性作(zuo)用。
(一)產權管理(li)工(gong)作(zuo)體系進一步完善,為深化企業改革夯(hang)實了(le)基礎。中央企業繼續把完善產權管理(li)工(gong)作(zuo)體系作(zuo)為一項重要工(gong)作(zuo),通過加強制度、機構和(he)隊伍建設,提高了(le)產權管理(li)工(gong)作(zuo)水平。
一是產(chan)(chan)(chan)(chan)(chan)權(quan)管(guan)理(li)(li)制(zhi)(zhi)度(du)不斷完(wan)善(shan)。國(guo)(guo)(guo)(guo)(guo)資委出(chu)臺《中(zhong)(zhong)(zhong)央(yang)(yang)企業境外(wai)(wai)(wai)國(guo)(guo)(guo)(guo)(guo)有產(chan)(chan)(chan)(chan)(chan)權(quan)管(guan)理(li)(li)暫行辦法》、《關(guan)于(yu)規范中(zhong)(zhong)(zhong)央(yang)(yang)企業選聘評估機構工作(zuo)(zuo)(zuo)的(de)指導意見》、《關(guan)于(yu)加強(qiang)上市公(gong)(gong)(gong)司(si)(si)國(guo)(guo)(guo)(guo)(guo)有股東(dong)內(nei)幕信息管(guan)理(li)(li)有關(guan)問題的(de)通知》等(deng)文(wen)件后(hou),中(zhong)(zhong)(zhong)央(yang)(yang)企業結合自身特點,及時完(wan)善(shan)本企業產(chan)(chan)(chan)(chan)(chan)權(quan)管(guan)理(li)(li)制(zhi)(zhi)度(du)體系。多數中(zhong)(zhong)(zhong)央(yang)(yang)企業制(zhi)(zhi)定(ding)了(le)境外(wai)(wai)(wai)產(chan)(chan)(chan)(chan)(chan)權(quan)管(guan)理(li)(li)制(zhi)(zhi)度(du)和評估機構選聘制(zhi)(zhi)度(du);中(zhong)(zhong)(zhong)國(guo)(guo)(guo)(guo)(guo)三峽集團(tuan)(tuan)全面啟動制(zhi)(zhi)度(du)梳(shu)理(li)(li)和修編(bian)工作(zuo)(zuo)(zuo);中(zhong)(zhong)(zhong)航工業出(chu)臺了(le)上市公(gong)(gong)(gong)司(si)(si)內(nei)幕信息管(guan)理(li)(li)制(zhi)(zhi)度(du);國(guo)(guo)(guo)(guo)(guo)機集團(tuan)(tuan)對集團(tuan)(tuan)公(gong)(gong)(gong)司(si)(si)內(nei)部協議轉(zhuan)讓、資產(chan)(chan)(chan)(chan)(chan)置換等(deng)事項的(de)相關(guan)規定(ding)進(jin)(jin)行了(le)修訂。此外(wai)(wai)(wai),中(zhong)(zhong)(zhong)央(yang)(yang)企業還注(zhu)重對已有制(zhi)(zhi)度(du)進(jin)(jin)行細(xi)(xi)化和完(wan)善(shan),進(jin)(jin)一步(bu)提高工作(zuo)(zuo)(zuo)的(de)規范性。華僑城集團(tuan)(tuan)編(bian)制(zhi)(zhi)了(le)《國(guo)(guo)(guo)(guo)(guo)有產(chan)(chan)(chan)(chan)(chan)權(quan)登記操(cao)作(zuo)(zuo)(zuo)手冊》,明確(que)了(le)產(chan)(chan)(chan)(chan)(chan)權(quan)登記的(de)具體辦理(li)(li)程序。中(zhong)(zhong)(zhong)國(guo)(guo)(guo)(guo)(guo)鐵(tie)建(jian)根(gen)據集團(tuan)(tuan)整體上市特點,將(jiang)債券發行、產(chan)(chan)(chan)(chan)(chan)權(quan)交(jiao)易、資產(chan)(chan)(chan)(chan)(chan)評估、境外(wai)(wai)(wai)產(chan)(chan)(chan)(chan)(chan)權(quan)管(guan)理(li)(li)等(deng)制(zhi)(zhi)度(du)規定(ding)在《公(gong)(gong)(gong)司(si)(si)法》框(kuang)架內(nei)進(jin)(jin)行細(xi)(xi)化,確(que)保(bao)相關(guan)工作(zuo)(zuo)(zuo)依法合規推進(jin)(jin)。
二是(shi)(shi)產(chan)(chan)(chan)權(quan)(quan)管(guan)(guan)(guan)理(li)(li)機(ji)構(gou)不斷健全。截(jie)至目前(qian),先后有39家(jia)中(zhong)(zhong)央企業(ye)推動建立(li)了(le)統一的(de)產(chan)(chan)(chan)權(quan)(quan)管(guan)(guan)(guan)理(li)(li)部(bu)門,明(ming)確(que)了(le)產(chan)(chan)(chan)權(quan)(quan)管(guan)(guan)(guan)理(li)(li)崗位職(zhi)責,為推進企業(ye)重組改(gai)制奠定(ding)了(le)基礎。特別(bie)是(shi)(shi)兵器工(gong)業(ye)集團(tuan)、中(zhong)(zhong)國國電、中(zhong)(zhong)國大唐、招(zhao)商局集團(tuan)等企業(ye)將分散在財務、資(zi)本運營、戰略發展等相(xiang)關管(guan)(guan)(guan)理(li)(li)部(bu)門的(de)產(chan)(chan)(chan)權(quan)(quan)管(guan)(guan)(guan)理(li)(li)職(zhi)能集中(zhong)(zhong)到(dao)專司部(bu)門統一行使,理(li)(li)順(shun)了(le)工(gong)作關系,大大提高了(le)工(gong)作效能。中(zhong)(zhong)國中(zhong)(zhong)鐵、中(zhong)(zhong)國南車(che)集團(tuan)要(yao)求子公司重新明(ming)確(que)產(chan)(chan)(chan)權(quan)(quan)管(guan)(guan)(guan)理(li)(li)職(zhi)能部(bu)門和管(guan)(guan)(guan)理(li)(li)崗位,從機(ji)構(gou)建設(she)上保障了(le)集團(tuan)產(chan)(chan)(chan)權(quan)(quan)管(guan)(guan)(guan)理(li)(li)整體工(gong)作水(shui)平的(de)有效提升(sheng)。
三是產(chan)權管(guan)理隊伍(wu)建設不斷加強。中(zhong)(zhong)央企業(ye)(ye)以(yi)提(ti)高從業(ye)(ye)人(ren)(ren)員素質(zhi)為(wei)重(zhong)點(dian)加強隊伍(wu)建設。中(zhong)(zhong)國(guo)(guo)遠洋、通用(yong)技術(shu)集團(tuan)、中(zhong)(zhong)紡(fang)集團(tuan)、中(zhong)(zhong)國(guo)(guo)有(you)色等(deng)十多(duo)家企業(ye)(ye)組織開展了下屬企業(ye)(ye)培訓,加強產(chan)權管(guan)理工(gong)作人(ren)(ren)員對(dui)新出(chu)臺制度辦法的(de)理解,增強了工(gong)作的(de)針對(dui)性和(he)主動性。中(zhong)(zhong)國(guo)(guo)中(zhong)(zhong)鐵舉辦財務和(he)產(chan)權管(guan)理知(zhi)識大(da)(da)賽,將產(chan)權管(guan)理制度和(he)案例(li)作為(wei)大(da)(da)賽的(de)重(zhong)要(yao)內容(rong),有(you)效提(ti)高了產(chan)權管(guan)理工(gong)作人(ren)(ren)員的(de)政策(ce)水平。中(zhong)(zhong)鋁公司(si)、中(zhong)(zhong)煤(mei)地質(zhi)總局組織召開全系統(tong)視(shi)頻會議,要(yao)求各子企業(ye)(ye)、各部門進一步提(ti)高對(dui)產(chan)權管(guan)理工(gong)作的(de)認識,增強責任(ren)感(gan)和(he)使命(ming)感(gan),切實履(lv)行國(guo)(guo)有(you)產(chan)權管(guan)理職責。
四是產權管(guan)(guan)理方式不斷創(chuang)新。中央(yang)企(qi)(qi)業不斷創(chuang)新管(guan)(guan)理方式,加強(qiang)關鍵環節監(jian)管(guan)(guan),工作的有效性(xing)不斷增強(qiang)。國家(jia)(jia)電(dian)網研(yan)究建立了產權管(guan)(guan)理后評(ping)(ping)價指標體(ti)系,產權閉環管(guan)(guan)理體(ti)系初步(bu)形(xing)成,大大提高(gao)了產權監(jian)管(guan)(guan)效力。航天科技實(shi)施(shi)評(ping)(ping)估分(fen)類分(fen)級審查,重大項目請監(jian)事會、審計(ji)監(jian)察部門提前介入,提高(gao)監(jian)管(guan)(guan)透明(ming)度,嚴(yan)控(kong)國資流失風險。中國鐵建、中國石(shi)油、中國石(shi)化等(deng)44家(jia)(jia)中央(yang)企(qi)(qi)業還通(tong)過(guo)國資委網站向社會公布了本企(qi)(qi)業評(ping)(ping)估機構備選(xuan)(xuan)庫名單,對資產評(ping)(ping)估機構的選(xuan)(xuan)擇(ze)實(shi)行透明(ming)化管(guan)(guan)理。
(二(er))產(chan)(chan)權(quan)配(pei)(pei)置(zhi)水平(ping)進(jin)一步提(ti)升(sheng),為(wei)優化布局結構(gou)(gou)提(ti)供支(zhi)持(chi)。中央企業不斷創新(xin)產(chan)(chan)權(quan)配(pei)(pei)置(zhi)方式,加(jia)大產(chan)(chan)權(quan)配(pei)(pei)置(zhi)力度,提(ti)高產(chan)(chan)權(quan)配(pei)(pei)置(zhi)水平(ping),推動了企業產(chan)(chan)權(quan)布局結構(gou)(gou)的持(chi)續(xu)優化。
一是產(chan)(chan)(chan)權(quan)配(pei)(pei)置(zhi)方式(shi)(shi)不斷創新。中(zhong)(zhong)(zhong)央(yang)企(qi)業(ye)注重(zhong)結合自(zi)身特點創新產(chan)(chan)(chan)權(quan)配(pei)(pei)置(zhi)方式(shi)(shi)。華(hua)潤集(ji)(ji)團發(fa)揮集(ji)(ji)團與控(kong)(kong)股(gu)上市(shi)(shi)公(gong)(gong)(gong)司(si)(si)各(ge)自(zi)優(you)勢,大力(li)推(tui)行孵化注資(zi)模式(shi)(shi),集(ji)(ji)團公(gong)(gong)(gong)司(si)(si)培育注入控(kong)(kong)股(gu)上市(shi)(shi)公(gong)(gong)(gong)司(si)(si)項目(mu)累計金(jin)額618億港(gang)幣(bi),有(you)(you)效培育了新興(xing)產(chan)(chan)(chan)業(ye),推(tui)動了控(kong)(kong)股(gu)上市(shi)(shi)公(gong)(gong)(gong)司(si)(si)的(de)快速發(fa)展。兵(bing)器裝備(bei)集(ji)(ji)團等企(qi)業(ye)成立(li)了資(zi)產(chan)(chan)(chan)管理(li)公(gong)(gong)(gong)司(si)(si)專司(si)(si)處(chu)置(zhi)輔業(ye)和(he)低(di)效無效資(zi)產(chan)(chan)(chan)。航(hang)天(tian)科(ke)技通過(guo)(guo)(guo)構建(jian)航(hang)天(tian)財(cai)務(wu)公(gong)(gong)(gong)司(si)(si)、航(hang)天(tian)投資(zi)控(kong)(kong)股(gu)公(gong)(gong)(gong)司(si)(si)、航(hang)天(tian)產(chan)(chan)(chan)業(ye)基(ji)金(jin)等三大金(jin)融平臺,促(cu)進產(chan)(chan)(chan)融結合,助推(tui)轉型升級。國家電網采(cai)用市(shi)(shi)場(chang)化方式(shi)(shi)積極推(tui)動國有(you)(you)資(zi)產(chan)(chan)(chan)與非公(gong)(gong)(gong)資(zi)本控(kong)(kong)股(gu)上市(shi)(shi)公(gong)(gong)(gong)司(si)(si)重(zhong)組(zu)(zu),實(shi)現資(zi)源優(you)化配(pei)(pei)置(zhi)。中(zhong)(zhong)(zhong)煤集(ji)(ji)團、中(zhong)(zhong)(zhong)電投集(ji)(ji)團、中(zhong)(zhong)(zhong)國大唐通過(guo)(guo)(guo)相互參(can)股(gu)、重(zhong)組(zu)(zu)地方煤炭企(qi)業(ye)等方式(shi)(shi)推(tui)進煤電聯(lian)營。中(zhong)(zhong)(zhong)國五礦(kuang)通過(guo)(guo)(guo)增(zeng)資(zi)擴股(gu)與湖南有(you)(you)色重(zhong)組(zu)(zu),實(shi)現了中(zhong)(zhong)(zhong)央(yang)企(qi)業(ye)與地方企(qi)業(ye)的(de)雙贏。
二是產(chan)權(quan)(quan)配置(zhi)力(li)度不斷(duan)加(jia)大(da)(da)。中(zhong)(zhong)央(yang)企(qi)(qi)業(ye)逐步加(jia)大(da)(da)集(ji)(ji)(ji)團(tuan)(tuan)內(nei)(nei)部(bu)、 跨集(ji)(ji)(ji)團(tuan)(tuan)、跨所有制(zhi)產(chan)權(quan)(quan)配置(zhi)力(li)度,推動國(guo)(guo)(guo)有產(chan)權(quan)(quan)在更大(da)(da)范圍內(nei)(nei)有序流轉(zhuan),在流轉(zhuan)中(zhong)(zhong)有效提(ti)(ti)升價值。航天科工扎(zha)實推進二次創(chuang)業(ye),完(wan)成(cheng)多項重(zhong)大(da)(da)資產(chan)重(zhong)組(zu)工作,實施產(chan)權(quan)(quan)流轉(zhuan)工作100多項,覆蓋(gai)80%二級(ji)單位,為產(chan)業(ye)化(hua)(hua)、規范化(hua)(hua)、集(ji)(ji)(ji)團(tuan)(tuan)化(hua)(hua)發(fa)(fa)展(zhan)夯實了(le)基(ji)礎。中(zhong)(zhong)國(guo)(guo)(guo)鐵物(wu)以(yi)整(zheng)體改制(zhi)上市為契機(ji),對(dui)87家所屬企(qi)(qi)業(ye)產(chan)權(quan)(quan)進行梳理、整(zheng)合,推動資源(yuan)向鐵路物(wu)資和(he)鋼鐵供應鏈集(ji)(ji)(ji)成(cheng)服務兩大(da)(da)主(zhu)業(ye)板塊集(ji)(ji)(ji)中(zhong)(zhong)。兵器工業(ye)集(ji)(ji)(ji)團(tuan)(tuan)為完(wan)善產(chan)業(ye)鏈,打造高端裝備(bei)制(zhi)造平(ping)臺,完(wan)成(cheng)了(le)對(dui)武重(zhong)集(ji)(ji)(ji)團(tuan)(tuan)的(de)重(zhong)組(zu)工作。中(zhong)(zhong)國(guo)(guo)(guo)化(hua)(hua)工通過內(nei)(nei)部(bu)協議轉(zhuan)讓(rang)推動海內(nei)(nei)外同行業(ye)資源(yuan)整(zheng)合,提(ti)(ti)高了(le)資源(yuan)配置(zhi)效率。中(zhong)(zhong)國(guo)(guo)(guo)建(jian)材集(ji)(ji)(ji)團(tuan)(tuan)通過對(dui)非公水泥(ni)企(qi)(qi)業(ye)的(de)批量重(zhong)組(zu)整(zheng)合,構建(jian)出多個區域性大(da)(da)型建(jian)材企(qi)(qi)業(ye),充分發(fa)(fa)揮了(le)國(guo)(guo)(guo)有資本的(de)帶動力(li)。
三(san)是產(chan)(chan)(chan)(chan)權(quan)(quan)(quan)配(pei)置(zhi)效果不斷顯(xian)現。中(zhong)(zhong)(zhong)央企(qi)業(ye)通(tong)過優化產(chan)(chan)(chan)(chan)權(quan)(quan)(quan)配(pei)置(zhi)取得了(le)多種成效,公(gong)司(si)(si)制(zhi)股份制(zhi)改革持續(xu)深化,產(chan)(chan)(chan)(chan)權(quan)(quan)(quan)管(guan)理鏈條(tiao)持續(xu)縮(suo)短,產(chan)(chan)(chan)(chan)權(quan)(quan)(quan)結構持續(xu)優化。中(zhong)(zhong)(zhong)國石(shi)化、中(zhong)(zhong)(zhong)國海運、中(zhong)(zhong)(zhong)交集(ji)(ji)(ji)(ji)團(tuan)(tuan)、中(zhong)(zhong)(zhong)核(he)集(ji)(ji)(ji)(ji)團(tuan)(tuan)等(deng)企(qi)業(ye)在縮(suo)短產(chan)(chan)(chan)(chan)權(quan)(quan)(quan)鏈條(tiao)方面不斷推進,取得了(le)積極成效。兵器工業(ye)集(ji)(ji)(ji)(ji)團(tuan)(tuan)完成了(le)31個專業(ye)子(zi)集(ji)(ji)(ji)(ji)團(tuan)(tuan)和12個直(zhi)管(guan)單(dan)位的(de)(de)組建工作,集(ji)(ji)(ji)(ji)團(tuan)(tuan)管(guan)控(kong)(kong)力進一步(bu)增強(qiang)。中(zhong)(zhong)(zhong)鋼集(ji)(ji)(ji)(ji)團(tuan)(tuan)通(tong)過清(qing)理交叉持股完成了(le)23家所(suo)屬企(qi)業(ye)變更為(wei)一人有(you)限責任公(gong)司(si)(si)工作,理順了(le)產(chan)(chan)(chan)(chan)權(quan)(quan)(quan)關系。中(zhong)(zhong)(zhong)國電(dian)(dian)子(zi)與產(chan)(chan)(chan)(chan)權(quan)(quan)(quan)局共同(tong)(tong)協調證監會(hui)(hui)完成了(le)控(kong)(kong)股上市(shi)公(gong)司(si)(si)南京熊(xiong)貓(mao)的(de)(de)實際控(kong)(kong)制(zhi)人變更工作,解決(jue)了(le)多年的(de)(de)歷史(shi)遺(yi)留問題。第(di)三(san),輔業(ye)資(zi)產(chan)(chan)(chan)(chan)持續(xu)減少(shao),主(zhu)業(ye)集(ji)(ji)(ji)(ji)中(zhong)(zhong)(zhong)度進一步(bu)提高。國家電(dian)(dian)網(wang)完成低(di)效無效投(tou)(tou)資(zi)處置(zhi)323項;航天科技完成83戶(hu)公(gong)司(si)(si)清(qing)理;國開投(tou)(tou)注銷對(dui)外投(tou)(tou)資(zi)歷史(shi)遺(yi)留項目63個;中(zhong)(zhong)(zhong)國北車完成60戶(hu)單(dan)位主(zhu)輔分離輔業(ye)資(zi)產(chan)(chan)(chan)(chan)處置(zhi)核(he)銷工作。第(di)四,進一步(bu)加大了(le)對(dui)混(hun)合所(suo)有(you)制(zhi)企(qi)業(ye)的(de)(de)產(chan)(chan)(chan)(chan)權(quan)(quan)(quan)管(guan)理。中(zhong)(zhong)(zhong)核(he)集(ji)(ji)(ji)(ji)團(tuan)(tuan)規定控(kong)(kong)股混(hun)合所(suo)有(you)制(zhi)企(qi)業(ye)公(gong)司(si)(si)章程和投(tou)(tou)資(zi)協議(yi)必須經(jing)(jing)集(ji)(ji)(ji)(ji)團(tuan)(tuan)總(zong)部審核(he)批準(zhun),建立(li)了(le)集(ji)(ji)(ji)(ji)團(tuan)(tuan)派出董事(shi)在股東會(hui)(hui)和董事(shi)會(hui)(hui)議(yi)題上發表意見(jian)須經(jing)(jing)集(ji)(ji)(ji)(ji)團(tuan)(tuan)總(zong)部相(xiang)關部門審議(yi)同(tong)(tong)意的(de)(de)制(zhi)度。
(三)市場(chang)化運(yun)作能力(li)進一步提(ti)高(gao),為企業改革發(fa)展提(ti)供支(zhi)撐。中央企業堅持遵循依法合規、市場(chang)機(ji)制的(de)理(li)念,借助股票市場(chang)、債券市場(chang)、產權市場(chang),轉(zhuan)換體制機(ji)制,加快企業發(fa)展。
一(yi)(yi)是(shi)積(ji)極(ji)(ji)利用股票(piao)(piao)市場(chang)優(you)化資(zi)(zi)本(ben)結構,轉換經營機(ji)制。一(yi)(yi)方面(mian),中央企(qi)(qi)業以(yi)改(gai)制上市和(he)市場(chang)化運作(zuo)為契機(ji),轉換體制機(ji)制,建立健全(quan)法(fa)人(ren)治(zhi)理結構。一(yi)(yi)汽集團(tuan)、中核集團(tuan)等(deng)(deng)完成主業資(zi)(zi)產股份(fen)制改(gai)造,為上市做好準備(bei);中國(guo)五礦(kuang)創造條(tiao)件攜手(shou)地方積(ji)極(ji)(ji)推(tui)進(jin)完成了對(dui)股份(fen)公司(si)的二(er)次(ci)大規模注(zhu)(zhu)資(zi)(zi)。另一(yi)(yi)方面(mian),中央企(qi)(qi)業還注(zhu)(zhu)重積(ji)極(ji)(ji)利用股票(piao)(piao)市場(chang)實施資(zi)(zi)本(ben)運作(zuo),為企(qi)(qi)業發展籌(chou)集資(zi)(zi)本(ben)。此外,寶鋼、華能(neng)集團(tuan)、三峽(xia)集團(tuan)等(deng)(deng)在股價超跌情況下,積(ji)極(ji)(ji)增(zeng)持(chi)控股上市公司(si)股票(piao)(piao),樹(shu)立了負責任股東的良好形象(xiang),提(ti)升了投資(zi)(zi)者(zhe)信心。
二(er)是積極利用(yong)債(zhai)(zhai)(zhai)(zhai)券市場(chang)籌集發(fa)(fa)展資(zi)金,擴(kuo)大(da)融資(zi)渠道。在股票市場(chang)融資(zi)困難的情況下(xia),中(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)積極利用(yong)債(zhai)(zhai)(zhai)(zhai)券市場(chang)融資(zi)。2011年(nian)中(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)及(ji)其子企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)發(fa)(fa)行(xing)債(zhai)(zhai)(zhai)(zhai)券規模創歷史新高(gao),發(fa)(fa)行(xing)總額達9977億元。在設計(ji)債(zhai)(zhai)(zhai)(zhai)券發(fa)(fa)行(xing)方案時,中(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)根(gen)據自(zi)身(shen)特點和(he)監管(guan)要求,靈活選擇組合不同債(zhai)(zhai)(zhai)(zhai)券品種(zhong),確保債(zhai)(zhai)(zhai)(zhai)券融資(zi)效益最大(da)化。經(jing)多方努力,寶(bao)鋼獲批赴香港發(fa)(fa)行(xing)65億元人民幣債(zhai)(zhai)(zhai)(zhai)券,完成了中(zhong)央企(qi)(qi)(qi)業(ye)(ye)(ye)(ye)首例(li)境外發(fa)(fa)行(xing)人民幣債(zhai)(zhai)(zhai)(zhai)券試點工作。
三是(shi)積(ji)極(ji)利(li)用(yong)產(chan)(chan)(chan)(chan)權(quan)(quan)(quan)市(shi)場(chang)(chang)盤(pan)活存量資(zi)(zi)產(chan)(chan)(chan)(chan),加快(kuai)資(zi)(zi)源整(zheng)合。中央(yang)(yang)企(qi)業(ye)(ye)充分(fen)發揮產(chan)(chan)(chan)(chan)權(quan)(quan)(quan)市(shi)場(chang)(chang)“發現(xian)(xian)買主、發現(xian)(xian)價(jia)格”的(de)功(gong)能,抓(zhua)住適(shi)當時機,推動(dong)產(chan)(chan)(chan)(chan)權(quan)(quan)(quan)有(you)序(xu)流(liu)轉(zhuan)。2011年,中央(yang)(yang)企(qi)業(ye)(ye)通過(guo)(guo)產(chan)(chan)(chan)(chan)權(quan)(quan)(quan)市(shi)場(chang)(chang)轉(zhuan)讓(rang)(rang)(rang)國(guo)有(you)產(chan)(chan)(chan)(chan)權(quan)(quan)(quan)663宗,成(cheng)交(jiao)(jiao)金額326億(yi)元。一些(xie)中央(yang)(yang)企(qi)業(ye)(ye)通過(guo)(guo)輔業(ye)(ye)資(zi)(zi)產(chan)(chan)(chan)(chan)變現(xian)(xian),為(wei)主業(ye)(ye)項(xiang)目提供(gong)支撐(cheng)。航天科工等27家非房(fang)地產(chan)(chan)(chan)(chan)主業(ye)(ye)的(de)中央(yang)(yang)企(qi)業(ye)(ye)利(li)用(yong)產(chan)(chan)(chan)(chan)權(quan)(quan)(quan)市(shi)場(chang)(chang)加快(kuai)房(fang)地產(chan)(chan)(chan)(chan)項(xiang)目退(tui)出(chu),公(gong)開掛牌轉(zhuan)讓(rang)(rang)(rang)40宗房(fang)地產(chan)(chan)(chan)(chan)企(qi)業(ye)(ye)股權(quan)(quan)(quan)。國(guo)藥集團通過(guo)(guo)產(chan)(chan)(chan)(chan)權(quan)(quan)(quan)市(shi)場(chang)(chang)轉(zhuan)讓(rang)(rang)(rang)福星出(chu)租(zu)車公(gong)司(si)項(xiang)目,轉(zhuan)讓(rang)(rang)(rang)價(jia)格比掛牌價(jia)格高出(chu)50%。一些(xie)企(qi)業(ye)(ye)積(ji)極(ji)推動(dong)實物資(zi)(zi)產(chan)(chan)(chan)(chan)進場(chang)(chang)交(jiao)(jiao)易(yi)。航天科技、中煤集團、中國(guo)石化(hua)、中國(guo)外(wai)運長航等通過(guo)(guo)產(chan)(chan)(chan)(chan)權(quan)(quan)(quan)市(shi)場(chang)(chang)處(chu)置(zhi)實物資(zi)(zi)產(chan)(chan)(chan)(chan)超過(guo)(guo)30億(yi)元。中電(dian)投集團、中國(guo)華電(dian)、中國(guo)大(da)唐利(li)用(yong)產(chan)(chan)(chan)(chan)權(quan)(quan)(quan)市(shi)場(chang)(chang)處(chu)置(zhi)關(guan)停火電(dian)機組報(bao)廢資(zi)(zi)產(chan)(chan)(chan)(chan)。一些(xie)中央(yang)(yang)企(qi)業(ye)(ye)以(yi)產(chan)(chan)(chan)(chan)權(quan)(quan)(quan)市(shi)場(chang)(chang)為(wei)平臺實現(xian)(xian)與(yu)地方(fang)國(guo)有(you)資(zi)(zi)本的(de)有(you)機結合。中廣(guang)核集團轉(zhuan)讓(rang)(rang)(rang)陽江核電(dian)24%股權(quan)(quan)(quan)被廣(guang)東(dong)省(sheng)粵電(dian)集團收購。中國(guo)華電(dian)所(suo)屬(shu)企(qi)業(ye)(ye)順利(li)受(shou)讓(rang)(rang)(rang)地方(fang)天然氣化(hua)工企(qi)業(ye)(ye)100%股權(quan)(quan)(quan)。

在(zai)總結(jie)成績的(de)同時(shi),我們也要清(qing)(qing)醒(xing)地認識到(dao),中央企業產(chan)權(quan)(quan)(quan)管(guan)(guan)理工作與(yu)(yu)國(guo)資(zi)委提(ti)出的(de)“做強(qiang)做優(you)、世界一(yi)(yi)流”的(de)核心目(mu)標要求仍(reng)(reng)有不(bu)少差(cha)距,還(huan)存在(zai)著(zhu)一(yi)(yi)些必(bi)須解決(jue)的(de)問題(ti)(ti)。一(yi)(yi)是產(chan)權(quan)(quan)(quan)結(jie)構不(bu)夠(gou)優(you)化(hua),行(xing)(xing)業分布過(guo)(guo)(guo)寬(kuan)、主業優(you)勢不(bu)足(zu)、產(chan)權(quan)(quan)(quan)級(ji)次過(guo)(guo)(guo)多(duo)(duo)等(deng)問題(ti)(ti)仍(reng)(reng)然(ran)比(bi)較突出,四級(ji)及(ji)以(yi)下企業占(zhan)比(bi)仍(reng)(reng)然(ran)較大。二是部分上(shang)市公(gong)司層級(ji)低、規(gui)模小、分布散(san)(san)、實力弱(ruo)的(de)局面沒(mei)有根本(ben)改觀,上(shang)市公(gong)司國(guo)有股東行(xing)(xing)為仍(reng)(reng)然(ran)不(bu)夠(gou)規(gui)范(fan)(fan)。三是產(chan)權(quan)(quan)(quan)管(guan)(guan)理過(guo)(guo)(guo)程(cheng)中應(ying)登(deng)未登(deng)、應(ying)評未評、應(ying)進未進等(deng)不(bu)規(gui)范(fan)(fan)行(xing)(xing)為仍(reng)(reng)然(ran)存在(zai)。四是境外產(chan)權(quan)(quan)(quan)管(guan)(guan)理依然(ran)薄弱(ruo),境外國(guo)有資(zi)產(chan)安全風險點較多(duo)(duo)。五是產(chan)權(quan)(quan)(quan)管(guan)(guan)理職能分散(san)(san),責任不(bu)清(qing)(qing),信息處置與(yu)(yu)報送不(bu)及(ji)時(shi),甚(shen)至導致產(chan)權(quan)(quan)(quan)運作前后(hou)脫節,扯皮推諉。對(dui)于這些問題(ti)(ti),我們要高度重視(shi),認真(zhen)研究,切實采(cai)取措施加(jia)以(yi)解決(jue)。
二、2012年(nian)面(mian)臨的形勢和主(zhu)要(yao)任務
中央經(jing)(jing)濟(ji)(ji)(ji)(ji)(ji)工作會議和(he)中央企業(ye)負責人會議都對(dui)2012年形勢(shi)做了(le)深(shen)(shen)刻分(fen)析。總的來(lai)看,2012年國(guo)(guo)際國(guo)(guo)內經(jing)(jing)濟(ji)(ji)(ji)(ji)(ji)環(huan)境將更為復雜。國(guo)(guo)際上(shang),歐洲主(zhu)(zhu)權債務危機繼續深(shen)(shen)化,美(mei)、日等主(zhu)(zhu)要(yao)發(fa)(fa)達(da)國(guo)(guo)家(jia)經(jing)(jing)濟(ji)(ji)(ji)(ji)(ji)增長(chang)乏力,新興經(jing)(jing)濟(ji)(ji)(ji)(ji)(ji)體的增長(chang)速度(du)明顯放緩,部(bu)分(fen)國(guo)(guo)家(jia)金融市場波動(dong)加(jia)劇;主(zhu)(zhu)要(yao)發(fa)(fa)達(da)經(jing)(jing)濟(ji)(ji)(ji)(ji)(ji)體大力推動(dong)經(jing)(jing)濟(ji)(ji)(ji)(ji)(ji)轉型(xing),加(jia)快(kuai)發(fa)(fa)展新興產(chan)業(ye),力圖(tu)搶(qiang)占未來(lai)發(fa)(fa)展制高點,貿易保護主(zhu)(zhu)義抬(tai)頭,外部(bu)需求能(neng)力下降,全球經(jing)(jing)濟(ji)(ji)(ji)(ji)(ji)將進入一(yi)個較長(chang)的低(di)速增長(chang)期。從國(guo)(guo)內情況看,我國(guo)(guo)經(jing)(jing)濟(ji)(ji)(ji)(ji)(ji)發(fa)(fa)展中不平衡、不協調(diao)、不可持續的矛盾和(he)問題仍較突出,經(jing)(jing)濟(ji)(ji)(ji)(ji)(ji)增長(chang)下行壓力和(he)物價上(shang)漲壓力并(bing)存,部(bu)分(fen)企業(ye)生產(chan)經(jing)(jing)營(ying)困難(nan),節能(neng)減排形勢(shi)嚴峻,經(jing)(jing)濟(ji)(ji)(ji)(ji)(ji)金融領域潛存風(feng)險(xian)。
國內外經濟(ji)形勢的(de)(de)深刻變化給中(zhong)央(yang)企(qi)業(ye)改(gai)(gai)革發(fa)展,特別(bie)是中(zhong)央(yang)企(qi)業(ye)產權(quan)管理(li)工(gong)作帶來了(le)新(xin)的(de)(de)挑戰:一(yi)(yi)是為優(you)化布(bu)局(ju)結構(gou),加(jia)(jia)快轉(zhuan)型升級,企(qi)業(ye)深化改(gai)(gai)革和結構(gou)調(diao)整的(de)(de)任務(wu)必將(jiang)進一(yi)(yi)步加(jia)(jia)重,企(qi)業(ye)結構(gou)調(diao)整的(de)(de)途(tu)徑(jing)和資(zi)產重組的(de)(de)方式也將(jiang)隨之多(duo)樣(yang)化。二是為保增長(chang)、保穩定,企(qi)業(ye)資(zi)本(ben)運作力度加(jia)(jia)大,產權(quan)流轉(zhuan)的(de)(de)頻率(lv)將(jiang)大幅提高。三(san)是為加(jia)(jia)大市場開拓,企(qi)業(ye)國際化經營(ying)步伐(fa)將(jiang)進一(yi)(yi)步加(jia)(jia)大,產權(quan)分布(bu)的(de)(de)地(di)域將(jiang)更(geng)(geng)加(jia)(jia)廣泛。這些都(dou)使產權(quan)管理(li)工(gong)作面臨的(de)(de)形勢更(geng)(geng)加(jia)(jia)復雜,任務(wu)更(geng)(geng)加(jia)(jia)艱巨。
面(mian)對新(xin)形勢、新(xin)挑(tiao)戰,結合中央(yang)企業改(gai)革(ge)發(fa)(fa)展實際,2012年中央(yang)企業產權管理工作的總體要(yao)求(qiu)是:認(ren)真貫徹落實中央(yang)經濟工作會(hui)議(yi)和中央(yang)企業負(fu)責人會(hui)議(yi)要(yao)求(qiu),堅持以科學發(fa)(fa)展為(wei)主題(ti),以轉變發(fa)(fa)展方(fang)式為(wei)主線,緊緊圍(wei)繞國(guo)資(zi)委(wei)今(jin)年“一抓、兩(liang)保、三突出”的工作重(zhong)點,強(qiang)化基礎(chu)管理、健全(quan)監管體系、調整布局結構(gou)、優化產權配置、服務(wu)改(gai)革(ge)發(fa)(fa)展、提(ti)升企業價值。為(wei)此,今(jin)年要(yao)著力(li)圍(wei)繞以下(xia)四(si)項任務(wu)開(kai)展工作:
(一)著力夯實基礎,服務改(gai)革(ge)發(fa)展(zhan)。貫徹落實中央企業(ye)負責(ze)人會(hui)議精神,要(yao)(yao)求(qiu)我(wo)們規范有(you)(you)序(xu)推(tui)進(jin)改(gai)革(ge)發(fa)展(zhan)。產(chan)(chan)權(quan)管(guan)(guan)(guan)理工(gong)作(zuo)作(zuo)為(wei)國(guo)資(zi)監管(guan)(guan)(guan)、國(guo)企改(gai)革(ge)發(fa)展(zhan)的(de)(de)基礎性(xing)、樞(shu)紐(niu)性(xing)、戰(zhan)略性(xing)工(gong)作(zuo),直接決定著改(gai)制(zhi)方(fang)案是(shi)否(fou)科學可(ke)行、改(gai)制(zhi)過程是(shi)否(fou)規范有(you)(you)序(xu)、國(guo)資(zi)監管(guan)(guan)(guan)是(shi)否(fou)及(ji)時有(you)(you)效。中央企業(ye)要(yao)(yao)高(gao)度重視產(chan)(chan)權(quan)管(guan)(guan)(guan)理工(gong)作(zuo),發(fa)揮好(hao)產(chan)(chan)權(quan)登記(ji)的(de)(de)基礎作(zuo)用(yong),在明確(que)企業(ye)管(guan)(guan)(guan)理權(quan)責(ze)邊界(jie)的(de)(de)同時,為(wei)企業(ye)布局(ju)結構(gou)(gou)調整提供(gong)決策依據;發(fa)揮好(hao)資(zi)產(chan)(chan)評估(gu)的(de)(de)門檻作(zuo)用(yong),為(wei)產(chan)(chan)權(quan)流(liu)轉(zhuan)提供(gong)公允價值(zhi)尺度,切實防止國(guo)有(you)(you)資(zi)產(chan)(chan)流(liu)失;發(fa)揮好(hao)“三個市場”的(de)(de)平臺作(zuo)用(yong),優化國(guo)有(you)(you)資(zi)產(chan)(chan)有(you)(you)進(jin)有(you)(you)退、合(he)理流(liu)動的(de)(de)渠道和(he)方(fang)式;發(fa)揮好(hao)無償劃(hua)轉(zhuan)、協議轉(zhuan)讓、資(zi)產(chan)(chan)置(zhi)換等內部流(liu)轉(zhuan)手段的(de)(de)整合(he)作(zuo)用(yong),促(cu)進(jin)國(guo)有(you)(you)資(zi)產(chan)(chan)在國(guo)資(zi)體系(xi)內合(he)理配(pei)置(zhi)。通(tong)過上(shang)述工(gong)作(zuo),推(tui)動形成符合(he)現代產(chan)(chan)權(quan)制(zhi)度要(yao)(yao)求(qiu)的(de)(de)產(chan)(chan)權(quan)管(guan)(guan)(guan)理工(gong)作(zuo)體系(xi),為(wei)調結構(gou)(gou)、轉(zhuan)方(fang)式提供(gong)保障。
(二)著力(li)建立合理(li)(li)(li)產(chan)權(quan)(quan)(quan)結(jie)(jie)構(gou)(gou)(gou),提升管(guan)(guan)(guan)理(li)(li)(li)水平。科學(xue)合理(li)(li)(li)的(de)(de)產(chan)權(quan)(quan)(quan)結(jie)(jie)構(gou)(gou)(gou),是建立良好(hao)公(gong)(gong)(gong)司治(zhi)理(li)(li)(li)結(jie)(jie)構(gou)(gou)(gou)的(de)(de)基礎。經過(guo)同志們多年的(de)(de)努力(li),企(qi)(qi)業內部(bu)(bu)交(jiao)叉持股(gu)、疊床架屋的(de)(de)混(hun)亂局面已(yi)有(you)很(hen)大(da)改觀,產(chan)權(quan)(quan)(quan)關(guan)系基本(ben)理(li)(li)(li)順(shun)。但產(chan)權(quan)(quan)(quan)層級(ji)(ji)過(guo)多、產(chan)權(quan)(quan)(quan)成分單一(yi)的(de)(de)問題(ti)依然存在。中(zhong)央(yang)(yang)(yang)企(qi)(qi)業要(yao)(yao)實現“做(zuo)強(qiang)做(zuo)優(you)、世界(jie)一(yi)流”的(de)(de)目標,必須(xu)下決(jue)心(xin)著力(li)調整產(chan)權(quan)(quan)(quan)結(jie)(jie)構(gou)(gou)(gou),為建立良好(hao)的(de)(de)公(gong)(gong)(gong)司治(zhi)理(li)(li)(li)結(jie)(jie)構(gou)(gou)(gou),完善(shan)科學(xue)有(you)效(xiao)的(de)(de)決(jue)策、執行和監(jian)督機制提供扎實的(de)(de)基礎。2012年國資委將在中(zhong)央(yang)(yang)(yang)企(qi)(qi)業開展管(guan)(guan)(guan)理(li)(li)(li)提升活動(dong)。中(zhong)央(yang)(yang)(yang)企(qi)(qi)業要(yao)(yao)以此(ci)為契機,從全局高度出發,繼(ji)續深化公(gong)(gong)(gong)司制股(gu)份制改革,進一(yi)步完善(shan)企(qi)(qi)業產(chan)權(quan)(quan)(quan)結(jie)(jie)構(gou)(gou)(gou),形成內部(bu)(bu)制衡機制,推(tui)動(dong)公(gong)(gong)(gong)司治(zhi)理(li)(li)(li)結(jie)(jie)構(gou)(gou)(gou)不斷優(you)化。要(yao)(yao)進一(yi)步壓(ya)縮管(guan)(guan)(guan)理(li)(li)(li)層級(ji)(ji),縮短產(chan)權(quan)(quan)(quan)鏈條,規范母子(zi)(zi)公(gong)(gong)(gong)司管(guan)(guan)(guan)理(li)(li)(li)體制,有(you)效(xiao)提升集(ji)團管(guan)(guan)(guan)控(kong)力(li)。中(zhong)央(yang)(yang)(yang)企(qi)(qi)業尤其(qi)要(yao)(yao)加強(qiang)對(dui)重要(yao)(yao)子(zi)(zi)企(qi)(qi)業和控(kong)股(gu)上市公(gong)(gong)(gong)司的(de)(de)管(guan)(guan)(guan)控(kong),對(dui)管(guan)(guan)(guan)理(li)(li)(li)層級(ji)(ji)低(di)的(de)(de)企(qi)(qi)業,要(yao)(yao)通(tong)過(guo)縮短產(chan)權(quan)(quan)(quan)鏈條,推(tui)動(dong)其(qi)向集(ji)團總部(bu)(bu)集(ji)中(zhong)。
(三(san))著力優(you)化產(chan)(chan)權(quan)配(pei)置(zhi),推(tui)(tui)進(jin)合(he)理布局。產(chan)(chan)權(quan)管理要繼續圍繞“推(tui)(tui)動流(liu)轉、防(fang)止流(liu)失、優(you)化配(pei)置(zhi)、提(ti)升價(jia)值”的(de)(de)(de)工作定位,掌握國(guo)(guo)有(you)資產(chan)(chan)在國(guo)(guo)民經(jing)濟各個行業(ye)(ye)和(he)具體產(chan)(chan)業(ye)(ye)的(de)(de)(de)分(fen)布狀(zhuang)況,明確調(diao)整(zheng)(zheng)方(fang)向(xiang)和(he)目(mu)標,服務于中(zhong)(zhong)央(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)布局優(you)化和(he)轉型升級。要進(jin)一(yi)步(bu)優(you)化國(guo)(guo)有(you)經(jing)濟布局,加快結構調(diao)整(zheng)(zheng),推(tui)(tui)動國(guo)(guo)有(you)資本向(xiang)關系國(guo)(guo)家安全和(he)國(guo)(guo)民經(jing)濟命脈的(de)(de)(de)重要行業(ye)(ye)和(he)關鍵領域集(ji)中(zhong)(zhong),向(xiang)優(you)勢(shi)區域布局,向(xiang)產(chan)(chan)業(ye)(ye)鏈高端集(ji)中(zhong)(zhong),向(xiang)戰略性新興(xing)產(chan)(chan)業(ye)(ye)發展,向(xiang)具有(you)國(guo)(guo)際(ji)競爭力的(de)(de)(de)大集(ji)團、大公司、大企(qi)(qi)(qi)(qi)業(ye)(ye)集(ji)中(zhong)(zhong)。要進(jin)一(yi)步(bu)突出和(he)精干主業(ye)(ye),加大企(qi)(qi)(qi)(qi)業(ye)(ye)內部資源整(zheng)(zheng)合(he)力度,加快推(tui)(tui)進(jin)中(zhong)(zhong)央(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)之(zhi)間(jian)(jian)、中(zhong)(zhong)央(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)與(yu)地(di)方(fang)國(guo)(guo)有(you)企(qi)(qi)(qi)(qi)業(ye)(ye)之(zhi)間(jian)(jian)、中(zhong)(zhong)央(yang)企(qi)(qi)(qi)(qi)業(ye)(ye)與(yu)其(qi)他所有(you)制企(qi)(qi)(qi)(qi)業(ye)(ye)之(zhi)間(jian)(jian)的(de)(de)(de)戰略合(he)作,盤活(huo)存量、用好增量,進(jin)一(yi)步(bu)提(ti)高國(guo)(guo)有(you)產(chan)(chan)權(quan)的(de)(de)(de)配(pei)置(zhi)效果。
(四)著(zhu)力(li)(li)增強資(zi)(zi)(zi)本(ben)(ben)(ben)運(yun)作能力(li)(li),保(bao)障企(qi)業(ye)平穩(wen)較(jiao)快發展(zhan)。當(dang)前,國(guo)內外宏觀經(jing)濟形勢給(gei)企(qi)業(ye)經(jing)營帶來了諸多困難(nan),中央企(qi)業(ye)改革(ge)發展(zhan)面臨嚴峻挑戰(zhan)。但也應當(dang)看到(dao),全球經(jing)濟的(de)深刻調(diao)整,也給(gei)中央企(qi)業(ye)調(diao)結構(gou)、轉(zhuan)(zhuan)方式提供了難(nan)得(de)機(ji)遇(yu)。中央企(qi)業(ye)要進(jin)一(yi)步(bu)用好三個市(shi)場(chang)(chang),采(cai)取多種方式增強資(zi)(zi)(zi)本(ben)(ben)(ben)運(yun)作能力(li)(li),加(jia)快重組整合(he),推進(jin)改革(ge)發展(zhan)。一(yi)是(shi)(shi)(shi)要繼續用好股(gu)(gu)票(piao)市(shi)場(chang)(chang),統籌運(yun)用各種手段,增強控股(gu)(gu)上(shang)市(shi)公司股(gu)(gu)權融(rong)資(zi)(zi)(zi)能力(li)(li)。同時(shi),結合(he)本(ben)(ben)(ben)企(qi)業(ye)國(guo)際化經(jing)營戰(zhan)略(lve),密(mi)切關注境外資(zi)(zi)(zi)本(ben)(ben)(ben)市(shi)場(chang)(chang)發展(zhan),積(ji)極利(li)用境外資(zi)(zi)(zi)本(ben)(ben)(ben)市(shi)場(chang)(chang)上(shang)市(shi)融(rong)資(zi)(zi)(zi)。二是(shi)(shi)(shi)繼續用好債券市(shi)場(chang)(chang),充(chong)分利(li)用利(li)率水平較(jiao)低的(de)融(rong)資(zi)(zi)(zi)工(gong)具,有條件的(de)企(qi)業(ye)可以探索發行海外人民(min)幣債券。三是(shi)(shi)(shi)著(zhu)力(li)(li)提高利(li)用產權市(shi)場(chang)(chang)進(jin)行產權流轉(zhuan)(zhuan)、資(zi)(zi)(zi)產交易、融(rong)資(zi)(zi)(zi)租(zu)賃、增資(zi)(zi)(zi)擴股(gu)(gu)等運(yun)作的(de)意識和能力(li)(li),加(jia)大國(guo)有資(zi)(zi)(zi)本(ben)(ben)(ben)與機(ji)構(gou)資(zi)(zi)(zi)本(ben)(ben)(ben)、民(min)間資(zi)(zi)(zi)本(ben)(ben)(ben)等各類社會(hui)資(zi)(zi)(zi)本(ben)(ben)(ben)結合(he)力(li)(li)度,為企(qi)業(ye)發展(zhan)提供資(zi)(zi)(zi)本(ben)(ben)(ben)和機(ji)制支持。
三(san)、2012年要重點抓好的幾項工作
今(jin)年(nian)是中央企業實(shi)現“十(shi)二五”改革發展目標承(cheng)上啟下的關鍵一年(nian)。新(xin)形勢對(dui)中央企業產權(quan)管理(li)工作提出了新(xin)要求,也提供了新(xin)契機,我們要抓住機遇,突(tu)出重點,扎實(shi)推進各項工作。
(一)繼(ji)(ji)續完善(shan)產(chan)(chan)權(quan)管(guan)理(li)(li)(li)工作(zuo)體系(xi)。基于產(chan)(chan)權(quan)管(guan)理(li)(li)(li)的(de)重要(yao)性(xing),去年王勇主任提出(chu)了產(chan)(chan)權(quan)管(guan)理(li)(li)(li)要(yao)機構(gou)到(dao)(dao)(dao)(dao)(dao)位(wei)、編制(zhi)到(dao)(dao)(dao)(dao)(dao)位(wei)、人(ren)員(yuan)到(dao)(dao)(dao)(dao)(dao)位(wei)、經費到(dao)(dao)(dao)(dao)(dao)位(wei)、責任到(dao)(dao)(dao)(dao)(dao)位(wei)的(de)工作(zuo)要(yao)求(qiu)(qiu)。但(dan)從(cong)當前情(qing)況看(kan),仍(reng)有部分中央(yang)(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)產(chan)(chan)權(quan)管(guan)理(li)(li)(li)的(de)職能分散在多(duo)個部門行(xing)使(shi)。中央(yang)(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)應繼(ji)(ji)續推動建立集團(tuan)層面的(de)專司(si)(si)機構(gou)建設,明(ming)確(que)責任主體,統一管(guan)理(li)(li)(li)職能,落(luo)實(shi)好五個到(dao)(dao)(dao)(dao)(dao)位(wei)的(de)工作(zuo)要(yao)求(qiu)(qiu)。在此基礎上,中央(yang)(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)要(yao)依(yi)據本(ben)公(gong)(gong)司(si)(si)實(shi)際情(qing)況,對(dui)相關產(chan)(chan)權(quan)管(guan)理(li)(li)(li)業(ye)(ye)(ye)務進(jin)行(xing)認真梳理(li)(li)(li),繼(ji)(ji)續完善(shan)和(he)細化產(chan)(chan)權(quan)管(guan)理(li)(li)(li)制(zhi)度(du)(du),公(gong)(gong)司(si)(si)制(zhi)企(qi)(qi)(qi)業(ye)(ye)(ye)要(yao)將(jiang)(jiang)主要(yao)制(zhi)度(du)(du)精神納(na)入公(gong)(gong)司(si)(si)章程(cheng)之中。要(yao)進(jin)一步制(zhi)定(ding)科學(xue)、規范的(de)工作(zuo)流程(cheng)和(he)審核標準,采用(yong)信(xin)息(xi)(xi)化手段(duan)夯實(shi)基礎管(guan)理(li)(li)(li),提高(gao)工作(zuo)效(xiao)率和(he)管(guan)理(li)(li)(li)質量,為中央(yang)(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)布局和(he)結構(gou)調整提供(gong)更加有力的(de)保障體系(xi)。今年,國資委產(chan)(chan)權(quan)登記管(guan)理(li)(li)(li)信(xin)息(xi)(xi)系(xi)統、中央(yang)(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)資產(chan)(chan)評(ping)估備案監測(ce)(ce)系(xi)統、上市公(gong)(gong)司(si)(si)國有股權(quan)管(guan)理(li)(li)(li)信(xin)息(xi)(xi)系(xi)統、企(qi)(qi)(qi)業(ye)(ye)(ye)國有產(chan)(chan)權(quan)交易(yi)信(xin)息(xi)(xi)監測(ce)(ce)系(xi)統及中央(yang)(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)債券發行(xing)管(guan)理(li)(li)(li)監測(ce)(ce)系(xi)統將(jiang)(jiang)全(quan)部建成投入應用(yong),中央(yang)(yang)企(qi)(qi)(qi)業(ye)(ye)(ye)應按(an)要(yao)求(qiu)(qiu)組織好相應對(dui)接工作(zuo),使(shi)產(chan)(chan)權(quan)管(guan)理(li)(li)(li)信(xin)息(xi)(xi)化水平躍上一個新臺階。
(二(er))不(bu)(bu)(bu)斷增強優(you)化(hua)產(chan)權(quan)(quan)(quan)(quan)(quan)(quan)(quan)配(pei)(pei)(pei)置(zhi)能(neng)力。繁重(zhong)的(de)(de)改(gai)革(ge)發(fa)展(zhan)任務(wu),復雜(za)多變的(de)(de)市(shi)場(chang)環境,要(yao)(yao)求中央企(qi)(qi)業(ye)(ye)不(bu)(bu)(bu)斷夯(hang)實(shi)(shi)產(chan)權(quan)(quan)(quan)(quan)(quan)(quan)(quan)管(guan)理基(ji)礎(chu)、提(ti)高(gao)產(chan)權(quan)(quan)(quan)(quan)(quan)(quan)(quan)配(pei)(pei)(pei)置(zhi)能(neng)力。一是(shi)要(yao)(yao)更新產(chan)權(quan)(quan)(quan)(quan)(quan)(quan)(quan)登(deng)記,準(zhun)確(que)全面(mian)地掌(zhang)握出(chu)資企(qi)(qi)業(ye)(ye)產(chan)權(quan)(quan)(quan)(quan)(quan)(quan)(quan)分(fen)布狀況,為優(you)化(hua)產(chan)權(quan)(quan)(quan)(quan)(quan)(quan)(quan)配(pei)(pei)(pei)置(zhi)打好基(ji)礎(chu)。近(jin)期,國(guo)(guo)資委將(jiang)下發(fa)國(guo)(guo)家出(chu)資企(qi)(qi)業(ye)(ye)產(chan)權(quan)(quan)(quan)(quan)(quan)(quan)(quan)登(deng)記管(guan)理辦(ban)法,中央企(qi)(qi)業(ye)(ye)要(yao)(yao)按(an)照新的(de)(de)產(chan)權(quan)(quan)(quan)(quan)(quan)(quan)(quan)登(deng)記規則,全面(mian)梳理本(ben)企(qi)(qi)業(ye)(ye)產(chan)權(quan)(quan)(quan)(quan)(quan)(quan)(quan)架構,摸清家底,分(fen)析產(chan)權(quan)(quan)(quan)(quan)(quan)(quan)(quan)在級次(ci)、行業(ye)(ye)、主(zhu)輔業(ye)(ye)、區域以及(ji)不(bu)(bu)(bu)同企(qi)(qi)業(ye)(ye)組織形式(shi)的(de)(de)分(fen)布和(he)動態(tai)變化(hua)情況。二(er)是(shi)要(yao)(yao)按(an)照國(guo)(guo)資委“抓落實(shi)(shi)”的(de)(de)工(gong)作要(yao)(yao)求,根據(ju)本(ben)企(qi)(qi)業(ye)(ye)的(de)(de)“十二(er)五”發(fa)展(zhan)規劃(hua),制訂好產(chan)權(quan)(quan)(quan)(quan)(quan)(quan)(quan)管(guan)理工(gong)作計劃(hua),并(bing)及(ji)時報告國(guo)(guo)資委,以便國(guo)(guo)資委能(neng)提(ti)前掌(zhang)握企(qi)(qi)業(ye)(ye)改(gai)制重(zhong)組、產(chan)權(quan)(quan)(quan)(quan)(quan)(quan)(quan)流轉等(deng)重(zhong)大事項及(ji)進展(zhan)時間要(yao)(yao)求,加強指(zhi)導,及(ji)時服務(wu),形成(cheng)合(he)力,提(ti)高(gao)效(xiao)率。三是(shi)要(yao)(yao)繼續提(ti)高(gao)利用市(shi)場(chang)機制優(you)化(hua)配(pei)(pei)(pei)置(zhi)資源(yuan)的(de)(de)能(neng)力。要(yao)(yao)認真研(yan)究市(shi)場(chang)發(fa)展(zhan)動態(tai)和(he)政策調控動向,充分(fen)發(fa)揮股票市(shi)場(chang)、產(chan)權(quan)(quan)(quan)(quan)(quan)(quan)(quan)市(shi)場(chang)、債(zhai)券(quan)市(shi)場(chang)的(de)(de)價值發(fa)現和(he)資本(ben)形成(cheng)功能(neng),大力推(tui)動資產(chan)轉讓(rang)和(he)增資擴股等(deng)項目進入產(chan)權(quan)(quan)(quan)(quan)(quan)(quan)(quan)市(shi)場(chang)陽(yang)光化(hua)操作。四是(shi)要(yao)(yao)探索建立中央企(qi)(qi)業(ye)(ye)產(chan)權(quan)(quan)(quan)(quan)(quan)(quan)(quan)配(pei)(pei)(pei)置(zhi)指(zhi)標(biao)體系(xi)。中央企(qi)(qi)業(ye)(ye)要(yao)(yao)著手研(yan)究反映企(qi)(qi)業(ye)(ye)產(chan)權(quan)(quan)(quan)(quan)(quan)(quan)(quan)配(pei)(pei)(pei)置(zhi)效(xiao)率和(he)工(gong)作效(xiao)果的(de)(de)指(zhi)標(biao)體系(xi),引導企(qi)(qi)業(ye)(ye)通過優(you)化(hua)資源(yuan)配(pei)(pei)(pei)置(zhi),不(bu)(bu)(bu)斷提(ti)升價值。
(三)積極推動(dong)(dong)企(qi)(qi)(qi)業布局與結構調整(zheng)。中(zhong)(zhong)央企(qi)(qi)(qi)業既要(yao)(yao)做好內(nei)部(bu)(bu)調整(zheng),也要(yao)(yao)注(zhu)重與外(wai)部(bu)(bu)合(he)(he)(he)作。要(yao)(yao)積極開(kai)(kai)展(zhan)(zhan)中(zhong)(zhong)央企(qi)(qi)(qi)業內(nei)部(bu)(bu)資(zi)源整(zheng)合(he)(he)(he),推動(dong)(dong)國有資(zi)本從輔業向主業集(ji)中(zhong)(zhong),從低(di)效(xiao)領域向高(gao)效(xiao)領域集(ji)中(zhong)(zhong)。繼續(xu)加(jia)大對(dui)(dui)企(qi)(qi)(qi)業重組或資(zi)本運作中(zhong)(zhong)設立的(de)(de)“殼公司(si)”的(de)(de)清理,加(jia)大對(dui)(dui)規模小、經營狀(zhuang)況不佳、投(tou)(tou)資(zi)回(hui)報(bao)率低(di)、存在較大投(tou)(tou)資(zi)風(feng)險企(qi)(qi)(qi)業的(de)(de)調整(zheng)整(zheng)頓(dun)力度,制訂低(di)效(xiao)無效(xiao)資(zi)產(chan)退(tui)出計劃。加(jia)快對(dui)(dui)參股(gu)企(qi)(qi)(qi)業股(gu)權的(de)(de)梳理,不符(fu)合(he)(he)(he)本企(qi)(qi)(qi)業戰(zhan)略規劃的(de)(de)項目應及時退(tui)出。合(he)(he)(he)理采(cai)用多(duo)種(zhong)產(chan)權運作方(fang)式(shi),整(zheng)合(he)(he)(he)集(ji)團(tuan)內(nei)部(bu)(bu)資(zi)源,集(ji)合(he)(he)(he)優勢產(chan)能,提(ti)高(gao)競爭能力。要(yao)(yao)積極開(kai)(kai)展(zhan)(zhan)外(wai)部(bu)(bu)合(he)(he)(he)作,推動(dong)(dong)中(zhong)(zhong)央企(qi)(qi)(qi)業之間(jian)非主業、非優勢業務(wu)、同(tong)(tong)類(lei)業務(wu)之間(jian)的(de)(de)重組整(zheng)合(he)(he)(he)。加(jia)強與地方(fang)政府和(he)企(qi)(qi)(qi)業溝通,開(kai)(kai)展(zhan)(zhan)多(duo)層次合(he)(he)(he)作,實現優勢互補(bu),共(gong)同(tong)(tong)發展(zhan)(zhan)。認真貫徹國務(wu)院36號(hao)文件精神,繼續(xu)推動(dong)(dong)民間(jian)資(zi)本參與國有企(qi)(qi)(qi)業改制重組,促進其他(ta)所(suo)有制經濟成分與中(zhong)(zhong)央企(qi)(qi)(qi)業共(gong)同(tong)(tong)發展(zhan)(zhan)。
(四)努(nu)力做(zuo)強(qiang)(qiang)做(zuo)優上(shang)市(shi)(shi)(shi)(shi)公(gong)(gong)(gong)司(si)。進(jin)(jin)一步做(zuo)強(qiang)(qiang)做(zuo)優中央企(qi)(qi)業(ye)(ye)(ye)(ye)控(kong)(kong)股(gu)(gu)(gu)上(shang)市(shi)(shi)(shi)(shi)公(gong)(gong)(gong)司(si),是(shi)(shi)國資(zi)(zi)(zi)(zi)委(wei)和中央企(qi)(qi)業(ye)(ye)(ye)(ye)的(de)(de)(de)重(zhong)(zhong)要(yao)(yao)(yao)(yao)(yao)任(ren)務。針(zhen)對當前中央企(qi)(qi)業(ye)(ye)(ye)(ye)控(kong)(kong)股(gu)(gu)(gu)上(shang)市(shi)(shi)(shi)(shi)公(gong)(gong)(gong)司(si)發(fa)展中存在(zai)(zai)(zai)的(de)(de)(de)問題(ti)(ti),要(yao)(yao)(yao)(yao)(yao)著重(zhong)(zhong)做(zuo)好以下工作(zuo):一是(shi)(shi)要(yao)(yao)(yao)(yao)(yao)重(zhong)(zhong)點(dian)解決中央企(qi)(qi)業(ye)(ye)(ye)(ye)控(kong)(kong)股(gu)(gu)(gu)上(shang)市(shi)(shi)(shi)(shi)公(gong)(gong)(gong)司(si)層級(ji)低、規(gui)模小、分(fen)(fen)布散(san)、實(shi)力弱的(de)(de)(de)問題(ti)(ti),要(yao)(yao)(yao)(yao)(yao)在(zai)(zai)(zai)研究(jiu)確定上(shang)市(shi)(shi)(shi)(shi)公(gong)(gong)(gong)司(si)層級(ji)的(de)(de)(de)基(ji)礎上(shang),以已有(you)上(shang)市(shi)(shi)(shi)(shi)公(gong)(gong)(gong)司(si)為(wei)平(ping)臺,利用(yong)好境內外(wai)資(zi)(zi)(zi)(zi)本市(shi)(shi)(shi)(shi)場,推動上(shang)市(shi)(shi)(shi)(shi)公(gong)(gong)(gong)司(si)資(zi)(zi)(zi)(zi)源(yuan)在(zai)(zai)(zai)中央企(qi)(qi)業(ye)(ye)(ye)(ye)內部、中央企(qi)(qi)業(ye)(ye)(ye)(ye)之間(jian)、中央企(qi)(qi)業(ye)(ye)(ye)(ye)與地方企(qi)(qi)業(ye)(ye)(ye)(ye)之間(jian)實(shi)施有(you)效整合(he),實(shi)現資(zi)(zi)(zi)(zi)源(yuan)集(ji)中、平(ping)臺集(ji)中、優勢(shi)集(ji)中。二是(shi)(shi)要(yao)(yao)(yao)(yao)(yao)進(jin)(jin)一步強(qiang)(qiang)化資(zi)(zi)(zi)(zi)本運作(zuo)能力,集(ji)團公(gong)(gong)(gong)司(si)要(yao)(yao)(yao)(yao)(yao)注重(zhong)(zhong)通過(guo)并購重(zhong)(zhong)組和孵化注資(zi)(zi)(zi)(zi)為(wei)上(shang)市(shi)(shi)(shi)(shi)公(gong)(gong)(gong)司(si)發(fa)展提供持(chi)(chi)續后勁,要(yao)(yao)(yao)(yao)(yao)統籌(chou)運用(yong)資(zi)(zi)(zi)(zi)產(chan)注入、增(zeng)持(chi)(chi)、增(zeng)發(fa)、配股(gu)(gu)(gu)、可轉(zhuan)債等多種手段,在(zai)(zai)(zai)保持(chi)(chi)控(kong)(kong)股(gu)(gu)(gu)股(gu)(gu)(gu)東(dong)對上(shang)市(shi)(shi)(shi)(shi)公(gong)(gong)(gong)司(si)合(he)理(li)控(kong)(kong)股(gu)(gu)(gu)比例(li)的(de)(de)(de)同(tong)時實(shi)現融資(zi)(zi)(zi)(zi)發(fa)展。三是(shi)(shi)要(yao)(yao)(yao)(yao)(yao)努(nu)力解決因(yin)歷史(shi)原(yuan)因(yin)造(zao)成(cheng)的(de)(de)(de)母公(gong)(gong)(gong)司(si)與控(kong)(kong)股(gu)(gu)(gu)上(shang)市(shi)(shi)(shi)(shi)公(gong)(gong)(gong)司(si)的(de)(de)(de)同(tong)業(ye)(ye)(ye)(ye)競(jing)爭問題(ti)(ti),繼續推動優質資(zi)(zi)(zi)(zi)產(chan)和相同(tong)類型(xing)企(qi)(qi)業(ye)(ye)(ye)(ye)向(xiang)上(shang)市(shi)(shi)(shi)(shi)公(gong)(gong)(gong)司(si)集(ji)中。要(yao)(yao)(yao)(yao)(yao)進(jin)(jin)一步規(gui)范關聯交(jiao)易(yi),依法保護上(shang)市(shi)(shi)(shi)(shi)公(gong)(gong)(gong)司(si)利益(yi)和各類股(gu)(gu)(gu)東(dong)權益(yi)。四是(shi)(shi)要(yao)(yao)(yao)(yao)(yao)努(nu)力提升(sheng)國有(you)控(kong)(kong)股(gu)(gu)(gu)上(shang)市(shi)(shi)(shi)(shi)公(gong)(gong)(gong)司(si)治(zhi)理(li)水平(ping),注重(zhong)(zhong)發(fa)揮股(gu)(gu)(gu)東(dong)治(zhi)理(li)在(zai)(zai)(zai)公(gong)(gong)(gong)司(si)治(zhi)理(li)中的(de)(de)(de)重(zhong)(zhong)要(yao)(yao)(yao)(yao)(yao)作(zuo)用(yong),使(shi)國有(you)股(gu)(gu)(gu)東(dong)成(cheng)為(wei)積極(ji)的(de)(de)(de)、負責任(ren)的(de)(de)(de)股(gu)(gu)(gu)東(dong),切(qie)實(shi)加強(qiang)(qiang)內控(kong)(kong)體系建設(she),防范內幕(mu)交(jiao)易(yi),鼓勵建立符合(he)價值投資(zi)(zi)(zi)(zi)理(li)念的(de)(de)(de)分(fen)(fen)紅機制,努(nu)力成(cheng)為(wei)股(gu)(gu)(gu)票市(shi)(shi)(shi)(shi)場的(de)(de)(de)表率。
(五)切實加強境(jing)(jing)外(wai)(wai)(wai)(wai)(wai)產(chan)(chan)(chan)權(quan)(quan)(quan)管(guan)(guan)理(li)(li)(li)(li)。今年的(de)(de)一(yi)項重要(yao)任務是(shi)全(quan)面貫徹落實27號令,加強境(jing)(jing)外(wai)(wai)(wai)(wai)(wai)產(chan)(chan)(chan)權(quan)(quan)(quan)管(guan)(guan)理(li)(li)(li)(li)。一(yi)是(shi)要(yao)加強境(jing)(jing)外(wai)(wai)(wai)(wai)(wai)產(chan)(chan)(chan)權(quan)(quan)(quan)管(guan)(guan)理(li)(li)(li)(li)工(gong)(gong)作(zuo)(zuo)體系(xi)建(jian)設,集(ji)團(tuan)產(chan)(chan)(chan)權(quan)(quan)(quan)管(guan)(guan)理(li)(li)(li)(li)部門要(yao)進(jin)一(yi)步(bu)強化境(jing)(jing)外(wai)(wai)(wai)(wai)(wai)產(chan)(chan)(chan)權(quan)(quan)(quan)管(guan)(guan)理(li)(li)(li)(li)工(gong)(gong)作(zuo)(zuo),明(ming)確崗位和(he)職(zhi)責(ze),確保境(jing)(jing)外(wai)(wai)(wai)(wai)(wai)產(chan)(chan)(chan)權(quan)(quan)(quan)管(guan)(guan)理(li)(li)(li)(li)責(ze)任落實。要(yao)結(jie)合本企業走出去的(de)(de)實際,建(jian)立起適應本企業發展要(yao)求(qiu)的(de)(de)境(jing)(jing)外(wai)(wai)(wai)(wai)(wai)產(chan)(chan)(chan)權(quan)(quan)(quan)管(guan)(guan)理(li)(li)(li)(li)制度,切實做(zuo)好境(jing)(jing)外(wai)(wai)(wai)(wai)(wai)產(chan)(chan)(chan)權(quan)(quan)(quan)管(guan)(guan)理(li)(li)(li)(li)與境(jing)(jing)內(nei)產(chan)(chan)(chan)權(quan)(quan)(quan)管(guan)(guan)理(li)(li)(li)(li)的(de)(de)銜接,不留管(guan)(guan)理(li)(li)(li)(li)死角。二是(shi)對本企業以(yi)各(ge)種形(xing)式對境(jing)(jing)外(wai)(wai)(wai)(wai)(wai)投資所(suo)形(xing)成的(de)(de)權(quan)(quan)(quan)益(yi)進(jin)行(xing)(xing)全(quan)面摸底,及(ji)時認真做(zuo)好境(jing)(jing)外(wai)(wai)(wai)(wai)(wai)企業產(chan)(chan)(chan)權(quan)(quan)(quan)登記工(gong)(gong)作(zuo)(zuo),摸清核實境(jing)(jing)外(wai)(wai)(wai)(wai)(wai)企業戶(hu)數、區域(yu)分布(bu)(bu)、行(xing)(xing)業分布(bu)(bu)、產(chan)(chan)(chan)權(quan)(quan)(quan)結(jie)構(gou)以(yi)及(ji)經營管(guan)(guan)理(li)(li)(li)(li)狀況(kuang),建(jian)立起境(jing)(jing)外(wai)(wai)(wai)(wai)(wai)產(chan)(chan)(chan)權(quan)(quan)(quan)管(guan)(guan)理(li)(li)(li)(li)狀況(kuang)報告制度,按(an)有(you)關(guan)規定向國(guo)資委報告境(jing)(jing)外(wai)(wai)(wai)(wai)(wai)產(chan)(chan)(chan)權(quan)(quan)(quan)管(guan)(guan)理(li)(li)(li)(li)情(qing)況(kuang)。三是(shi)把住關(guan)鍵(jian)環節(jie),做(zuo)好風險管(guan)(guan)控(kong)。要(yao)按(an)照27號令和(he)144號文的(de)(de)要(yao)求(qiu),在境(jing)(jing)外(wai)(wai)(wai)(wai)(wai)國(guo)有(you)產(chan)(chan)(chan)權(quan)(quan)(quan)流轉(zhuan)中,組織做(zuo)好可行(xing)(xing)性研(yan)究、內(nei)部決策、境(jing)(jing)外(wai)(wai)(wai)(wai)(wai)國(guo)有(you)資產(chan)(chan)(chan)評(ping)估或估值等各(ge)環節(jie)工(gong)(gong)作(zuo)(zuo),確保境(jing)(jing)外(wai)(wai)(wai)(wai)(wai)產(chan)(chan)(chan)權(quan)(quan)(quan)流轉(zhuan)依法合規,維(wei)護好國(guo)有(you)權(quan)(quan)(quan)益(yi)。四是(shi)要(yao)抓緊對個(ge)人代持(chi)境(jing)(jing)外(wai)(wai)(wai)(wai)(wai)國(guo)有(you)產(chan)(chan)(chan)權(quan)(quan)(quan)和(he)設立離岸(an)公(gong)司等特(te)殊(shu)目的(de)(de)公(gong)司的(de)(de)情(qing)況(kuang)進(jin)行(xing)(xing)一(yi)次全(quan)面清理(li)(li)(li)(li),具備條(tiao)件的(de)(de)應當及(ji)時辦(ban)理(li)(li)(li)(li)變更或注銷手續(xu)。
(六)探(tan)(tan)索(suo)推(tui)進產(chan)(chan)權(quan)(quan)(quan)管(guan)(guan)理(li)工(gong)作(zuo)(zuo)(zuo)的(de)(de)(de)綜合檢(jian)查評(ping)價(jia)。近年來,中央企(qi)(qi)業(ye)(ye)的(de)(de)(de)產(chan)(chan)權(quan)(quan)(quan)管(guan)(guan)理(li)工(gong)作(zuo)(zuo)(zuo)制(zhi)(zhi)度(du)不斷(duan)完善,隊伍(wu)建(jian)(jian)(jian)設不斷(duan)加(jia)(jia)強,在“制(zhi)(zhi)度(du)化(hua)、程(cheng)(cheng)序(xu)(xu)化(hua)、信息化(hua)、規范化(hua)”方(fang)面(mian)取(qu)得了明顯進步(bu)。鑒于此(ci),我(wo)們近年來陸續將一(yi)(yi)部分審批備(bei)案(an)權(quan)(quan)(quan)交由中央企(qi)(qi)業(ye)(ye)行使。應(ying)當看(kan)到,中央企(qi)(qi)業(ye)(ye)承擔的(de)(de)(de)工(gong)作(zuo)(zuo)(zuo)越(yue)多,相應(ying)的(de)(de)(de)責(ze)(ze)任也越(yue)大(da),對制(zhi)(zhi)度(du)、程(cheng)(cheng)序(xu)(xu)、監(jian)督等方(fang)面(mian)的(de)(de)(de)要(yao)(yao)(yao)求(qiu)也會越(yue)高。今年國(guo)(guo)資(zi)委將研(yan)究(jiu)建(jian)(jian)(jian)立(li)中央企(qi)(qi)業(ye)(ye)產(chan)(chan)權(quan)(quan)(quan)管(guan)(guan)理(li)工(gong)作(zuo)(zuo)(zuo)綜合檢(jian)查評(ping)價(jia)制(zhi)(zhi)度(du),加(jia)(jia)強對中央企(qi)(qi)業(ye)(ye)產(chan)(chan)權(quan)(quan)(quan)管(guan)(guan)理(li)工(gong)作(zuo)(zuo)(zuo)的(de)(de)(de)監(jian)督檢(jian)查和效能評(ping)價(jia)。中央企(qi)(qi)業(ye)(ye)也要(yao)(yao)(yao)在把(ba)加(jia)(jia)強制(zhi)(zhi)度(du)建(jian)(jian)(jian)設和隊伍(wu)建(jian)(jian)(jian)設作(zuo)(zuo)(zuo)為產(chan)(chan)權(quan)(quan)(quan)管(guan)(guan)理(li)工(gong)作(zuo)(zuo)(zuo)重(zhong)點的(de)(de)(de)同時(shi),將監(jian)督檢(jian)查作(zuo)(zuo)(zuo)為今后一(yi)(yi)項重(zhong)要(yao)(yao)(yao)工(gong)作(zuo)(zuo)(zuo)任務加(jia)(jia)以推(tui)進。要(yao)(yao)(yao)建(jian)(jian)(jian)章立(li)制(zhi)(zhi),明確(que)職責(ze)(ze),落(luo)實(shi)責(ze)(ze)任,創(chuang)新方(fang)式(shi),全面(mian)開展對所(suo)屬子企(qi)(qi)業(ye)(ye)的(de)(de)(de)產(chan)(chan)權(quan)(quan)(quan)管(guan)(guan)理(li)監(jian)督檢(jian)查和效能評(ping)價(jia)工(gong)作(zuo)(zuo)(zuo);要(yao)(yao)(yao)探(tan)(tan)索(suo)建(jian)(jian)(jian)立(li)混合所(suo)有(you)制(zhi)(zhi)企(qi)(qi)業(ye)(ye)產(chan)(chan)權(quan)(quan)(quan)管(guan)(guan)理(li)制(zhi)(zhi)度(du)和有(you)效方(fang)式(shi),研(yan)究(jiu)通過公司章程(cheng)(cheng)落(luo)實(shi)國(guo)(guo)有(you)產(chan)(chan)權(quan)(quan)(quan)監(jian)管(guan)(guan)要(yao)(yao)(yao)求(qiu),在各級子企(qi)(qi)業(ye)(ye)中體(ti)現(xian)國(guo)(guo)有(you)出(chu)資(zi)人意志,要(yao)(yao)(yao)推(tui)動重(zhong)要(yao)(yao)(yao)子企(qi)(qi)業(ye)(ye)建(jian)(jian)(jian)立(li)專門(men)的(de)(de)(de)產(chan)(chan)權(quan)(quan)(quan)監(jian)管(guan)(guan)體(ti)系,對日常產(chan)(chan)權(quan)(quan)(quan)運營進行監(jian)控,切實(shi)落(luo)實(shi)國(guo)(guo)有(you)資(zi)產(chan)(chan)保值增值責(ze)(ze)任。
四、做好(hao)2012年產權管(guan)理工(gong)作(zuo)的幾點要求(qiu)
為(wei)確保(bao)2012年(nian)中央企業產權管(guan)理工(gong)(gong)作整體(ti)協調推進,提高成效、多出(chu)精品,做到日常工(gong)(gong)作越(yue)做越(yue)扎實,重(zhong)點工(gong)(gong)作逐年(nian)有突破,隊伍建設水(shui)平不斷有提高,需要我們在(zai)工(gong)(gong)作中注意把握好以下幾點要求:
(一)要注意(yi)把握大(da)局(ju)(ju)。產權管(guan)理(li)工(gong)作(zuo)事(shi)(shi)關企業改革發展全局(ju)(ju),國內外形勢和(he)宏觀(guan)政(zheng)策的(de)(de)變(bian)化(hua)都(dou)會對產權管(guan)理(li)工(gong)作(zuo)產生深(shen)刻(ke)影響。中(zhong)央企業從事(shi)(shi)產權管(guan)理(li)工(gong)作(zuo)的(de)(de)同(tong)志們(men)一定要牢固樹立大(da)局(ju)(ju)意(yi)識和(he)全局(ju)(ju)意(yi)識,以(yi)更廣闊的(de)(de)視野,站在更高的(de)(de)層面上開展產權管(guan)理(li)工(gong)作(zuo)。當前,產權管(guan)理(li)工(gong)作(zuo)的(de)(de)大(da)局(ju)(ju)就(jiu)是要以(yi)科學(xue)發展為主題,以(yi)轉變(bian)發展方式為主線,推動(dong)中(zhong)央企業實現(xian)結構(gou)調整、轉型升級和(he)資源優化(hua)配置(zhi)。這就(jiu)需(xu)要我們(men)立足(zu)大(da)局(ju)(ju),明確工(gong)作(zuo)思路(lu),創(chuang)新管(guan)理(li)方式,用好市場(chang)機制,提升企業價(jia)值,自覺服務于中(zhong)央企業“做強做優、世界一流(liu)”核心目標的(de)(de)實現(xian)。

(四(si))要高度注意防范(fan)(fan)(fan)風(feng)(feng)險(xian)。產(chan)(chan)權(quan)管(guan)(guan)理(li)工作是國資監管(guan)(guan)的(de)重要關口,是社(she)會(hui)輿論(lun)的(de)重要關注點,責(ze)任(ren)大(da),輿情(qing)重,風(feng)(feng)險(xian)高。中央企業從(cong)事產(chan)(chan)權(quan)管(guan)(guan)理(li)的(de)同志(zhi)們在日(ri)常工作中要著(zhu)重防范(fan)(fan)(fan)違規(gui)風(feng)(feng)險(xian)、市(shi)場風(feng)(feng)險(xian)、經營風(feng)(feng)險(xian)和道(dao)德風(feng)(feng)險(xian)。要繼續(xu)堅持“依(yi)法合規(gui)、市(shi)場機制”的(de)工作理(li)念,不斷健全(quan)制度,規(gui)范(fan)(fan)(fan)程(cheng)序(xu),規(gui)范(fan)(fan)(fan)自身行為,做到按制度辦事,依(yi)程(cheng)序(xu)運作,防止暗(an)箱操作,謀(mou)私(si)腐敗。
